واقع تطبيق الحوكمة في المؤسسات الإقتصادية دراسة ميدانية في مؤسسة سونلغاز – بسكرة -

Abstract

تهدف هذه الدراسة الي ابراز الدور الذي تلعبه الحوكمة وذلك من خلال تطبيق المبادئ حيث تعتبر هذه الاخيرة من اهم الوسائل الحديثة التي تهدف الي حماية الشركة وضمان استقرارها،وتحقيق الشفافية والنزاهة في القوائم المالية ولحمايتها لحقوق المساهمين،كما تعمل على تخفيض المخاطر على مجلس الادارة حيث يعتبر هذا الاخير ظاهرة عالمية حديثة سرعة الانتشار، يهدد الكيان الاقتصادي للشركات. ولقد لخصنا دراستنا التي قمنا باجرائها في الشركة سونلغاز ان مستوى تطبيق مبادئ الحوكمة غير مقبول وذلك حسب التجاوب معنا حول الاستفسارات التي قدمناها،كما توصلت دراسة الي ان هناك علاقة ارتباط ضعيف جدا بين مبادئ الحوكمة ومسيرة المؤسسة،حيث لاحظنا ان المؤسسات لا تعتمد على مبدا حوكمة الشركات فهي بذلك تبطئ من حركة سير الشركة ومن مستوى تحسينها وتطويرها. الكلمات المفتاحة: الحوكمة .

Abstract :

This study aims to highlight the role played by governance by applying the principles. The latter is considered as one of the most modern means of protecting the company and ensuring its stability. It achieves transparency and integrity in the financial statements and protects the rights of shareholders. It also reduces risks to the board of directors. The latter is a recent global phenomenon of rapid proliferation, threatening the economic entity of companies. Our study at Sonalgaz summarized that the level of application of the principles of governance is not acceptable, according to the response to our inquiries. A study found that there is a very weak correlation between the principles of governance and the institution's progress. We noted that institutions do not rely on a governance principle Companies are thus slowing down the company's traffic and level of improvement and development. Keywords: Governance.
